Data Processing Agreement – Replyto.Chat
1. Introduction
This Data Processing Agreement ("DPA") outlines the terms and conditions under which Tigasoft I.T. Solutions, operating as Replyto.Chat, processes personal data on behalf of its clients, in compliance with the Philippine Data Privacy Act of 2012 and other applicable laws. By using our service, you agree to the terms of this agreement.
2. Roles of the Parties
- Data Controller: The client using Replyto.Chat, who determines the purposes and means of processing personal data.
- Data Processor: Tigasoft I.T. Solutions, which processes personal data on behalf of the client, in accordance with the instructions provided by the data controller.
3. Scope of Data Processing
We process personal data on behalf of our clients to provide the services available through Replyto.Chat. The types of data processed may include:
- User contact details (e.g., name, email address, phone number)
- Message and conversation logs
- Usage data for analytics and service improvement purposes
4. Sub-processors
We may engage third-party sub-processors to assist in providing services, such as payment processors, cloud hosting services, or analytics providers. A list of all sub-processors used can be made available upon request. We ensure that all sub-processors comply with the same data protection standards outlined in this DPA.
5. Security Measures
We take industry-standard security measures to protect your data, including but not limited to encryption, secure data storage, and access controls. We continually assess and improve these measures to ensure that personal data is securely protected from unauthorized access, loss, or destruction.
6. Data Subject Rights
As the data processor, we support our clients in ensuring the rights of data subjects. Clients may request to:
- Access their data
- Correct any inaccuracies in their data
- Delete or restrict processing of their data
- Object to the processing of their data

7. Data Retention
We retain personal data only as long as necessary to fulfill the purposes for which it was collected or as required by law. In the event of a data breach, we will promptly notify our clients and take appropriate steps to mitigate the breach, in accordance with the provisions of the **Philippine Data Privacy Act** and other applicable data protection laws.
9. Governing Law and Jurisdiction
This DPA is governed by the laws of the Philippines. Any disputes arising from this agreement shall be subject to the exclusive jurisdiction of the courts of the Philippines.
10. Updates to this Agreement
We may update this DPA from time to time to reflect changes in our data processing practices or to comply with legal requirements. Any updates will be posted on this page, and continued use of the service constitutes acceptance of the updated DPA.
